Terms of Service

1. Agreement to Terms

By registering as a Poppo Agency, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the Poppo Agency program.

2. Agency Eligibility

To qualify as a Poppo Agency, you must meet the following requirements:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have a valid Poppo Live account in good standing
• Provide accurate and complete registration information
• Have the legal capacity to enter into binding contracts
• Not be prohibited from receiving services under applicable laws

3. Agency Responsibilities

3.1 Host Recruitment

As a Poppo Agency, you are responsible for:

• Recruiting hosts who are 18 years of age or older
• Ensuring recruited hosts are not currently affiliated with another Poppo agency
• Verifying the authenticity of host information
• Maintaining professional conduct during recruitment
• Providing accurate information about the Poppo platform and opportunities

3.2 Host Management

You agree to:

• Provide ongoing support and guidance to your recruited hosts
• Educate hosts about Poppo's Community Guidelines and Terms of Service
• Monitor host compliance with platform policies
• Respond promptly to host inquiries and concerns
• Encourage professional and appropriate content creation

3.3 Compliance

You must:

• Strictly adhere to all Poppo Live policies and guidelines
• Ensure your hosts comply with platform content standards
• Not promote competing live-streaming platforms
• Not engage in fraudulent or deceptive practices
• Maintain accurate records of your agency activities

4. Commission Structure and Payments

4.1 Commission Rates

Commission rates are performance-based and calculated according to the following tiers:

• Level D: 4% for revenue under 2 Million Points
• Level C: 8% for 2M�10M Points
• Level B: 12% for 10M�50M Points
• Level A: 16% for 50M�150M Points
• Level S: 20% for over 150M Points

4.2 Payment Terms

Commission payments are subject to the following conditions:

• Commissions are calculated weekly based on host performance
• Payments are processed according to Poppo's standard payment schedule
• You must maintain active agency status to receive payments
• Poppo reserves the right to withhold payments for policy violations
• Disputed commissions will be reviewed and resolved within 30 business days

4.3 Commission Adjustments

Poppo reserves the right to adjust commission structures with 30 days' written notice. Changes will not apply retroactively to previously earned commissions.

5. Prohibited Activities

The following activities are strictly prohibited and may result in immediate account termination:

• Recruiting hosts already affiliated with another Poppo agency
• Misrepresenting the Poppo platform, commission structure, or earning potential
• Engaging in fraudulent activities or manipulation of metrics
• Promoting competing live-streaming platforms to your hosts
• Violating any applicable laws or regulations
• Harassing, threatening, or discriminating against hosts or other users
• Sharing confidential platform information without authorization
• Creating fake accounts or using automated systems
• Encouraging hosts to violate platform policies

6. Content Standards and Host Compliance

You are responsible for ensuring that all hosts under your agency comply with Poppo's content standards, including but not limited to:

• No illegal, harmful, or dangerous content
• No harassment, bullying, or hate speech
• No sexually explicit or suggestive content involving minors
• No promotion of violence or self-harm
• No infringement of intellectual property rights
• Compliance with all age-appropriate content guidelines

7. Account Termination

7.1 Termination by Agency

You may terminate your agency account at any time by providing written notice to Poppo. Upon termination:

• You will receive any outstanding commission payments earned prior to termination
• Your access to the Agency Dashboard will be revoked
• Your hosts may choose to remain on the platform without agency affiliation

7.2 Termination by Poppo

Poppo reserves the right to terminate your agency account immediately for:

• Violation of these Terms of Service
• Breach of platform policies or guidelines
• Fraudulent or deceptive activities
• Failure to maintain minimum performance standards
• Legal or regulatory requirements

7.3 Effects of Termination

Upon account termination for policy violations:

• Unpaid commissions may be forfeited
• You will be prohibited from re-registering as an agency
• All agency privileges and access will be permanently revoked

8. Limitation of Liability

To the maximum extent permitted by law:

• Poppo is not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the commissions paid to you in the preceding three months
• We are not responsible for actions or conduct of hosts or other agencies
• Platform availability and functionality are provided "as is" without warranties

9. Intellectual Property

You acknowledge that:

• Poppo owns all intellectual property rights to the platform
• You may use Poppo branding only as authorized for agency purposes
• You will not modify, reproduce, or create derivative works of platform materials
• All data and analytics remain the property of Poppo

10. Modifications to Terms

Poppo reserves the right to modify these Terms of Service at any time. We will provide notice of material changes through:

• Email notification to your registered email address
• In-app notifications through the Agency Dashboard
• Updates posted on the official Poppo Agency website

Continued use of the agency program after modifications constitutes acceptance of the updated terms.

11. Dispute Resolution

Any disputes arising from these terms shall be resolved through:

• Good faith negotiation between parties
• Mediation if negotiation fails
• Binding arbitration as a final resort

You agree to waive any right to participate in class action lawsuits against Poppo.
